Introduction
Welcome to Kojori. These Terms of Service ("Terms") govern your use of Kojori desktop application ("Software", "Application", or "Kojori"), provided by Nikolai Berezovskii, Individual Entrepreneur (P/E), registered in Georgia ("we", "us", or "our").
By purchasing, downloading, installing, or using Kojori, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Software.
1. Definitions
- "License" means the right to use Kojori software as granted under these Terms
- "User" or "you" means the individual or entity that has purchased a license to use Kojori
- "Device" means a single computer or workstation (hardware and operating system combination) on which the Software is installed
- "API Key" means authentication credentials for third-party AI services (e.g., Anthropic's Claude API)
- "BYOK" means "Bring Your Own Key" - the model where users provide their own API keys for third-party services
- "Platform Authentication" means authentication provided through integrated third-party systems (e.g., Claude Code's authentication and subscription system)
- "Content" means any data, text, files, or materials you create, store, or process using Kojori
2. License Grant
2.1 Grant of License
Subject to your compliance with these Terms and payment of the applicable license fee, we grant you a non-exclusive, non-transferable, perpetual license to:
- Install and use Kojori on up to two (2) devices simultaneously
- Use Kojori for both personal and commercial purposes
- Receive software updates and bug fixes at no additional cost
2.2 License Limitations
You may NOT:
- Share, distribute, or transfer your license key to others
- Reverse engineer, decompile, or disassemble the Software
- Remove or modify any proprietary notices or labels on the Software
- Rent, lease, lend, or provide commercial hosting services using the Software
- Circumvent any technical limitations or license enforcement mechanisms in the Software
2.3 Device Limitations
Your license permits installation on a maximum of two (2) devices. A device is counted as a unique combination of hardware and operating system. If you need to transfer your license to a new device, you must first uninstall Kojori from one of your existing devices.
2.4 License Ownership
The Software license is personal to you and cannot be transferred, sold, or shared with any other individual or entity without our prior written consent.
3. Third-Party Services and Authentication
3.1 Authentication Models
Kojori supports two authentication approaches for third-party AI services:
BYOK (Bring Your Own Key):
- You provide your own API keys obtained directly from third-party providers (e.g., Anthropic's Claude API)
- You maintain the account and full responsibility for these keys and associated costs
Platform Authentication:
- Authentication credentials provided through integrated systems (e.g., Claude Code's authentication and subscription system)
- Subject to the respective platform's terms of service, authentication policies, and subscription requirements
3.2 Your Responsibility
Regardless of authentication method, you are solely responsible for:
- The security and confidentiality of your credentials (API keys or platform accounts)
- All costs and charges incurred through your use of third-party services
- Compliance with third-party provider terms, usage limits, and policies
- Any actions taken by third-party providers regarding your access
- Maintaining valid accounts and subscriptions with third-party providers
3.3 Our Role
We do NOT:
- Store your API keys or authentication credentials on our servers
- Transmit your credentials to any server except as required to authenticate with third-party providers
- Have access to or control over your third-party accounts
- Assume any liability for costs incurred through third-party service usage
Your credentials are stored locally on your device and used solely to authenticate your requests to third-party services.
3.4 Third-Party Service Terms
Your use of integrated third-party services (such as Anthropic's Claude API or Claude Code) is subject to those providers' terms of service. We are not responsible for:
- Changes to third-party service terms, pricing, or availability
- Interruptions, limitations, or termination of third-party services
- The accuracy, quality, or reliability of third-party service outputs
- Disputes between you and third-party service providers
- Changes to authentication methods or subscription requirements by third-party providers
4. Payment and Refunds
4.1 Pricing
Kojori is offered as a one-time purchase with a perpetual license. Current pricing and available tiers are listed at kojori.app/pricing. Pricing is subject to change; check the website for current pricing before purchase.
4.2 Merchant of Record
All payments are processed by Paddle (paddle.com), who serves as the Merchant of Record. Paddle is responsible for:
- Payment processing
- Tax collection and remittance
- Billing support
- Refund processing
By purchasing Kojori, you also agree to Paddle's terms of service.
4.3 Refund Policy
We offer a 14-day money-back guarantee. If you are not satisfied with Kojori for any reason, you may request a full refund within 14 days of your purchase date.
To request a refund:
- Contact us at [email protected] or through Paddle's refund process
- Provide your purchase email and order number
- No questions asked - refunds are processed promptly
After the 14-day period, all sales are final. Refunds will not be provided for:
- Changes in Software features or functionality
- Service interruptions or bugs (we will work to fix issues)
- Incompatibility with your hardware or software (check system requirements before purchase)
- Third-party API costs or service changes
- Change of mind after the 14-day period
4.4 Taxes
Paddle handles all applicable taxes (VAT, GST, sales tax, etc.) based on your location. The displayed price may not include taxes, which will be calculated at checkout.
4.5 Payment Disputes
For payment-related issues, disputes, or billing questions, please contact Paddle directly through their support channels. We will assist where possible, but Paddle is the Merchant of Record and handles all payment matters.
5. Intellectual Property
5.1 Software Ownership
Kojori, including all source code, design, features, functionality, and documentation, is owned by us and protected by international copyright, trademark, and other intellectual property laws.
Your license does not grant you any ownership rights to the Software - only the right to use it in accordance with these Terms.
5.2 Your Content Ownership
You retain all rights, title, and interest in and to any Content you create, store, or process using Kojori. We do not claim any ownership over your Content.
5.3 Local-First Architecture and Privacy
Kojori is built with a local-first, privacy-first architecture:
Data Storage:
- Your Content, files, sessions, and credentials are stored locally on your device
- Your data is NOT transmitted to or stored on our servers
- You retain full control and ownership of your data
Privacy Implications:
- We do not have access to your Content unless you explicitly share it (e.g., for support purposes)
- We cannot monitor, analyze, or access your work
- Your API keys and authentication credentials are stored locally and never transmitted to us
Your Responsibility:
- You are responsible for backing up your local data
- We cannot recover your data if your device is damaged or lost
5.4 Feedback
If you provide us with feedback, suggestions, or ideas about Kojori, you grant us a non-exclusive, worldwide, royalty-free license to use, implement, and incorporate such feedback into the Software without attribution or compensation.
6. Privacy and Data Collection
6.1 Limited Data Collection
We may collect minimal, non-personal data for:
- Crash reports: Anonymous error logs to help us fix bugs
- Usage analytics: Aggregated, anonymized usage statistics to improve the product
You can opt out of crash reports and analytics in the application settings.
6.2 API Communications
When you use third-party AI services through Kojori:
- API requests are sent directly from your device to the third-party provider
- We do not intercept, store, or have access to these communications
- Your interactions are governed by the third-party provider's privacy policy

7. Software Updates
7.1 Updates Included
Your license includes access to software updates, bug fixes, and security patches at no additional cost. We may release updates to:
- Fix bugs and security vulnerabilities
- Improve performance and stability
- Add new features or enhance existing ones
7.2 Automatic Updates
Kojori may check for and download updates automatically. You can control update settings in the application preferences.
7.3 No Guarantee of Updates
While we intend to provide ongoing updates, we do not guarantee:
- That updates will be released on any specific schedule
- That any particular feature will be added or maintained
- That the Software will be updated indefinitely
We reserve the right to discontinue updates at any time, though your perpetual license to use the Software as-is will remain valid.
7.4 Major Version Upgrades
These Terms cover updates and improvements to the current major version of Kojori. We reserve the right to charge separately for major version upgrades (e.g., Kojori 2.0), though this is not currently planned. Users who have purchased Kojori retain perpetual access to their version. Any major version upgrade will be offered as a separate purchase. There is no obligation to upgrade.
7.5 Future Open Source Release
At any point, we may release Kojori or portions of Kojori as open source software under an open source license (e.g., MIT, GPL, Apache 2.0).
This decision is at our sole discretion and does not:
- Entitle you to a refund of your license fee
- Change your existing license terms
- Affect your right to use Kojori under these Terms
- Create any obligation to support or maintain the open source version
If Kojori is released as open source, your paid license will continue to grant you benefits such as official support and updates.
8. Disclaimers and Limitations of Liability
8.1 "As Is" Provision
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- That the Software will be error-free, uninterrupted, or secure
- That defects will be corrected
- That the Software will meet your requirements or expectations
8.2 AI Output and Actions Disclaimer
Kojori integrates with AI services that generate content and suggest actions (including code execution, file modifications, and system commands). We make no warranties regarding:
- The accuracy, reliability, or completeness of AI-generated content or suggestions
- The safety or suitability of suggested actions for your system or use case
- Whether AI-recommended actions will achieve your intended results
- The suitability of AI output for any particular purpose
- Compliance of AI output with laws, regulations, or third-party rights
Your Responsibility:
You are solely responsible for:
- Reviewing and verifying all AI-generated content before using or publishing it
- Reviewing and understanding all suggested actions before executing them
- Verifying that suggested commands, file modifications, or other actions are safe and appropriate for your system
- Taking responsibility for any consequences of executing AI suggestions
- Ensuring your use of AI output complies with applicable laws and third-party rights
- Backing up your data before executing any AI-suggested actions
Kojori provides tools to preview and control the scope of suggested actions, but you retain final decision-making authority and responsibility for all actions taken.
8.3 Third-Party Services
We are not responsible for:
- The availability, performance, or reliability of third-party services (including AI APIs)
- Changes to third-party service terms, pricing, or functionality
- Actions taken by third-party service providers
- Data loss or service interruptions caused by third-party services
8.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF KOJORI SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE.
WE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, consequential, or special damages
- Lost profits, data, or business opportunities
- Service interruptions or data loss
- Third-party API costs or service issues
- Damages arising from your use or inability to use the Software
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.
8.5 Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Software
- Your violation of these Terms
- Your violation of any third-party rights
- Your use of third-party services through Kojori
9. System Requirements and Compatibility
9.1 Supported Platforms
Kojori is designed for macOS and requires:
- macOS 12 (Monterey) or later
- Apple Silicon (M1/M2/M3/M4) or Intel processor
- Minimum 4GB RAM (8GB recommended)
- 500MB available disk space
9.2 No Compatibility Guarantee
We do not guarantee that Kojori will:
- Work on all hardware or software configurations
- Be compatible with future macOS updates
- Support older or unsupported operating system versions
It is your responsibility to verify system requirements before purchase. Compatibility issues are not grounds for refund after the 14-day period.
10. Termination
10.1 Termination by You
You may stop using Kojori at any time by uninstalling the Software from your devices. Termination does not entitle you to a refund unless within the 14-day refund period.
10.2 Termination by Us
We may terminate your license immediately if you:
- Violate these Terms
- Use the Software for illegal or unauthorized purposes
- Attempt to circumvent license enforcement mechanisms
- Engage in piracy, unauthorized distribution, or license key sharing
Upon termination, you must:
- Immediately cease all use of the Software
- Uninstall Kojori from all devices
- Delete all copies of the Software in your possession
10.3 Effect of Termination
Upon termination:
- Your license and right to use Kojori ends immediately
- You are not entitled to a refund (unless termination is within the 14-day period)
- Your local data remains on your device (we cannot delete it)
- Sections of these Terms that should survive termination (disclaimers, limitations of liability, etc.) will remain in effect
11. Changes to Terms
11.1 Right to Update Terms
We reserve the right to modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date at the top of this document
- For material changes, we will notify you via email (if provided) or through the Software
- Continued use of Kojori after changes constitutes acceptance of the updated Terms
11.2 Your Options
If you do not agree to updated Terms:
- Stop using the Software
- Request a refund if within the 14-day period
- Continue using the version you have under the previous Terms (though updates may not be available)
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by the laws of Georgia (country), without regard to its conflict of law principles.
Payment processing is handled by Paddle (paddle.com) as the Merchant of Record, and is subject to Paddle's separate Merchant of Record Agreement and applicable laws where Paddle operates.
12.2 Jurisdiction
Any disputes arising from these Terms or your use of Kojori shall be subject to the exclusive jurisdiction of the courts of Georgia.
12.3 Informal Resolution
Before filing any formal claim, please contact us at [email protected] to attempt to resolve the issue informally. Most disputes can be resolved quickly and amicably through direct communication.
12.4 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding Kojori and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
13.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your license without our prior written consent. We may assign these Terms without restriction.
13.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or third-party service outages.
13.6 Export Compliance
You agree to comply with all applicable export and import laws and regulations. You may not use Kojori in violation of any export restrictions, embargoes, or sanctions.
